Please read these Terms & Conditions (“Terms”) carefully before using the valbey.com website (the “Site”) or placing any order. These Terms govern your access to and use of the Site and all purchases made through it.

By accessing the Site or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. About Us

Valbey LLC (“Valbey”, “we”, “us”, “our”) is a limited liability company registered in the United States, operating an online store at valbey.com. We specialize in the sale of genuine digital software license keys for Microsoft products, including Windows operating systems, Microsoft Office suites, Windows Server editions, and related Microsoft business software.

Valbey is a verified Microsoft Partner. Our partner listing can be verified at any time on the Microsoft Partner Marketplace.


2. Scope and Applicability

2.1 These Terms apply to all visitors, registered users, and customers who access or use the Site or purchase products from Valbey.

2.2 All products sold by Valbey are digital goods — specifically, software license keys and activation codes delivered electronically. No physical goods are shipped.

2.3 By placing an order, you confirm that you are at least 18 years of age and legally capable of entering into a binding contract.

2.4 These Terms may be updated from time to time. The version published on the Site at the time of your order applies to that purchase. We encourage you to review these Terms periodically.


3. Products and Descriptions

3.1 All product descriptions, specifications, and prices on the Site are provided in good faith and are as accurate as reasonably possible. We reserve the right to correct errors or update listings at any time prior to order confirmation.

3.2 Product listings describe the software edition, version, number of licenses, and compatible operating system where applicable. It is your responsibility to verify that the product you are purchasing is compatible with your system before completing your order.

3.3 All license keys sold by Valbey are genuine Microsoft licenses obtained through legitimate commercial channels, including authorized distributors and the secondary software market, in compliance with applicable law. Valbey operates as a verified Microsoft Partner and maintains purchase records for all inventory. Customers can verify our Microsoft Partner status directly at the Microsoft Partner Marketplace

3.4 All licenses sold on this Site are perpetual licenses unless otherwise explicitly stated in the product listing. No recurring subscription fee is associated with these licenses.


4. Ordering and Contract Formation

4.1 Placing an order on valbey.com constitutes an offer to purchase. A binding contract is formed when Valbey sends you an order confirmation email containing your license key or delivery instructions.

4.2 Valbey reserves the right to decline or cancel any order at its discretion, for example in cases of pricing errors, suspected fraud, or stock unavailability. If an order is cancelled after payment, a full refund will be issued promptly.

4.3 It is your responsibility to ensure that the email address provided at checkout is correct and capable of receiving emails. Valbey is not liable for non-delivery caused by an incorrect email address or overly restrictive spam filters.

4.4 All prices displayed on the Site are in US Dollars (USD) and are inclusive of any applicable taxes unless stated otherwise.


5. Payment

5.1 Valbey accepts the following payment methods:

  • PayPal
  • Credit and debit cards (Visa, Mastercard, American Express) via Stripe
  • Google Pay
  • Apple Pay

5.2 Payment is due in full at the time of placing your order. Orders are not processed until payment has been successfully confirmed.

5.3 All payment transactions are processed over SSL-encrypted connections. Valbey does not store your full card details on its servers. Card processing is handled by Stripe, Inc., a PCI-DSS compliant payment processor.

5.4 If your payment is declined or fails, your order will not be processed and no license key will be delivered. Please contact your bank or payment provider, or try an alternative payment method.

5.5 In the event of a chargeback or payment dispute initiated without first contacting Valbey, we reserve the right to suspend access and flag the transaction for review.


6. Delivery

6.1 All products are digital goods delivered by email. Upon successful payment, your license key and installation instructions will be sent to the email address provided at checkout, typically within 15–30 minutes.

6.2 In rare cases, delivery may take up to 8 hours. If you have not received your key within 8 hours of purchase, please check your spam or junk folder before contacting us.

6.3 Claims of non-delivery must be submitted in writing to Contact@valbey.com within 7 days of your order date. After this period, the order will be considered successfully delivered.

6.4 There is no physical shipping. No delivery charges apply.


7. License Rights

7.1 Upon full payment and delivery of a license key, Valbey grants you a non-exclusive, non-transferable, permanent right to use the software in accordance with the Microsoft End User License Agreement (EULA) for that product.

7.2 Your use is limited to the number of devices specified in the product listing (e.g., 1 PC or 5 PC). Installing the software on more devices than licensed is a violation of these Terms and Microsoft’s EULA.

7.3 The license key delivered to you is for your personal or business use only, limited to the number of devices specified in the product listing.

7.4 You may create one backup copy of the software for personal archival purposes, provided it is not used on additional devices.

7.5 You must not remove, alter, or obscure any copyright notices, serial numbers, or product identification features associated with the software.

7.6 Decompilation, reverse engineering, or modification of the software is permitted only to the extent expressly allowed by applicable law.


8. Refunds and Returns

8.1 Because our products are digital goods delivered electronically, all sales are generally final once a license key has been delivered and confirmed as functional.

8.2 Valbey offers a 30-day refund guarantee in the following circumstances:

  • Non-functional key: If the key does not activate the software as described and Valbey is unable to resolve the issue or provide a working replacement within 48 hours of your written notification.
  • Product not as described: If the delivered product materially differs from the description on the product listing page, reported in writing within 30 days of purchase.
  • Non-delivery: If the key was never delivered and cannot be resent, reported in writing within 7 days of the order date.

8.3 Refunds are not issued for the following reasons:

  • Change of mind after the key has been delivered
  • Incompatibility with your hardware or operating system that could have been verified before purchase
  • Keys that have already been successfully activated
  • Purchases where the customer has violated these Terms or Microsoft’s EULA

8.4 To request a refund, contact us at Contact@valbey.com with your order number and a description of the issue. Approved refunds are processed within 7 business days to the original payment method.

9. Warranties and Disclaimers

9.1 Valbey warrants that all license keys sold are genuine and sourced through authorized channels, and that they will activate the software as described at the time of sale.

9.2 Valbey does not warrant that the software itself will be free from bugs, errors, or interruptions, as this is outside our control and governed by Microsoft’s own product warranties.

9.3 To the fullest extent permitted by applicable law, Valbey disclaims all other warranties, express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.


10. Limitation of Liability

10.1 To the maximum extent permitted by applicable law, Valbey’s total liability to you for any claim arising out of or related to these Terms or your use of the Site shall not exceed the amount you paid for the order giving rise to the claim.

10.2 Valbey shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising out of your use of or inability to use our products or services.

10.3 Nothing in these Terms limits or excludes liability for fraud, gross negligence, or any other liability that cannot be excluded under applicable law.


11. Intellectual Property

11.1 All content on valbey.com, including text, images, logos, and page layouts, is the property of Valbey LLC or its content suppliers and is protected by applicable intellectual property laws.

11.2 You may not reproduce, distribute, or create derivative works from any content on the Site without Valbey’s prior written consent.

11.3 Microsoft, Windows, Office, and all related product names are trademarks of Microsoft Corporation. Their use on this Site is for identification purposes only and does not imply endorsement by Microsoft.


12. Acceptable Use

12.1 You agree to use the Site only for lawful purposes and in accordance with these Terms.

12.2 You must not use the Site to purchase products for resale, redistribution, or any activity that violates Microsoft’s licensing terms.

12.3 You must not attempt to gain unauthorized access to any part of the Site, its servers, or any connected systems.

12.4 Valbey reserves the right to suspend or terminate access for any user who violates these Terms.


13. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you consent to the data practices described in the Privacy Policy.


14. Governing Law and Disputes

14.1 These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law principles.

14.2 Any dispute arising out of or relating to these Terms or your use of the Site shall first be attempted to be resolved through good-faith negotiation by contacting us at Contact@valbey.com.

14.3 If a dispute cannot be resolved informally, it shall be subject to the exclusive jurisdiction of the state and federal courts located in Prince William County, Virginia.

14.4 If you are a consumer residing in a US state that provides additional consumer protections, nothing in these Terms limits those rights.


15. Changes to These Terms

Valbey reserves the right to update or modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
